Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Konektly platform, operated by Udou Labs LLC (“Company,” “we,” “us,” or “our”). By creating an account or using any part of the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Konektly, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to these Terms and our Privacy Policy. If you are using Konektly on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Konektly is a cloud-based gym management software platform that enables personal training gyms and fitness studios to manage clients, sessions, workout tracking, scheduling, and payments. The Service is provided as-is and subject to change. We may add, modify, or discontinue features at any time with reasonable notice.

3. Accounts and Access

Gym owners who subscribe to Konektly (“Subscribers”) are responsible for all activity under their organization account, including actions taken by staff members they invite. You must keep your login credentials secure and notify us promptly of any unauthorized access.

Client portal users (“Clients”) access Konektly as end-users of the subscribing gym. The gym is responsible for obtaining any necessary consents from their clients before adding them to the platform.

4. Subscriptions and Billing

Konektly subscriptions are billed on a monthly or annual basis via Stripe. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

If you cancel, your access continues until the end of the paid period. We do not issue refunds for unused portions of a subscription term. We reserve the right to change pricing with at least 30 days’ advance notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable law
  • Scrape, reverse-engineer, or attempt to extract the underlying source code
  • Misuse client data or share it outside the scope of your gym’s operations
  • Attempt to gain unauthorized access to any part of the Service or another user’s account
  • Upload malicious code or content that disrupts the Service

6. Intellectual Property

Udou Labs LLC owns all rights to the Konektly platform, including its software, design, and branding. Nothing in these Terms transfers any ownership of Company intellectual property to you.

You retain ownership of all data you upload to Konektly (client records, workout data, etc.). By using the Service, you grant us a limited license to store and process that data solely to provide the Service to you.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Termination

Either party may terminate this agreement at any time. We reserve the right to suspend or terminate your access immediately if you violate these Terms or engage in conduct that harms the Service or other users. Upon termination, your right to access the Service ceases. Sections that by their nature survive termination (including Sections 6, 9, 10, and 11) will remain in effect.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UDOU LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by a prominent notice in the Service at least 14 days before the changes take effect. Continued use of Konektly after the effective date constitutes your acceptance of the updated Terms.
